MEMBERSHIP APPLICATION

Membership is open to all eligible property owners within the Pinelands CID boundary. The property owner is entitled to attend, participate and vote at the meetings held under the auspices of the Companies Act. Should a member be unable to attend annual general meetings, they may give another individual their proxy to attend and vote on their behalf. The board of directors is chosen by Pinelands CID members at the AGM. Only members have voting rights at the AGM. Any property owner in Pinelands can become a member of the Pinelands CID. Non-members may attend and participate but cannot vote and as such may thus have limited influence on the Pinelands CID activities.

The Pinelands CID is registered as a non-profit company (NPC) and in accordance with CIPC regulations, only registered members can vote on matters relating to the company. While all property owners are eligible to become members of the Pinelands CID NPC, the Companies and Intellectual Properties Commission (CIPC) of South Africa which is the legislative body governing our CID, requires that those eligible actively “opt in”. For individuals, this entails the completion of a brief two-page membership application form, although if your property is owned by a corporation or trust, supporting documentation is required. Applications to join a board meeting can be sent to members@pinelandscid.co.za.
 
Attendance at the meeting is open to all but only registered members of the Pinelands CID may vote. Matters which will be voted on at the meeting will include the approval of the budget and implementation plan, and the election of Pinelands CID board members. Those unable to attend the meeting in person are strongly recommended to complete a proxy form. Non-attendance at the AGM for two consecutive years without completing a proxy will result in your membership of the CID being terminated per S13 of the CID’s memorandum of incorporation. Note that even if you complete a proxy, you can still subsequently opt to attend the AGM and vote in person.

All stakeholders and interested parties are invited to attend, however, only owners registered as members of the company may vote.

Per clause 15.11.52 of the Memorandum of Incorporation, no member who is in arrears with payment of the additional rate for more than 60 (sixty) days, shall be entitled to vote at an AGM for so long as s/he is so in arrears except if the member can prove that s/he is in a dispute or has entered into an appropriate payment arrangement with the City or can provide proof of payment.

Owners wishing to apply for membership should do so via the website or by email. New membership applications should be received by close of business on Tuesday 14th November 2023 to be approved and accepted at a meeting of the Board of directors of the NPC prior to the Members meeting.

Any member may appoint a Proxy to attend the meeting on his/her behalf. Forms of Proxy may be downloaded from the website or requested by email. The proxy form must be delivered to the offices of the Company no less than 24 hours prior to the advertised time of the start of the meeting, failing which it shall not be deemed to be valid.

Enquiries should be addressed as far in advance as possible, by email as above or by letter to the registered office of the company. The Annual Financial Statements can be downloaded from the website.

Forms for nomination of directors may be downloaded from the website or be requested by email. These forms must be delivered to the offices of the Company no less than 7 clear days prior to the advertised time of the start of the meeting, failing which it shall not be deemed to be valid.
